Robin S. Fredrickson, a partner in the Houston office, represents exploration and production companies, midstream companies, and private equity clients in mergers and acquisitions, corporate, and oil and gas transactions. In particular, Ms. Fredrickson’s practice focuses on:

  • Acquisitions and divestitures of upstream and midstream energy assets
  • Formation of partnerships, limited liability companies, and joint venture for energy assets
  • Drafting and negotiating exploration and development agreements, participation agreements, drilling program agreements, joint operating agreements, and other contracts relevant to the energy industry

  • Bruin Williston Holdings in its US$1.4billion acquisition of the operated assets in the Williston Basin of Halcón Resources
  • Stone Energy in its sale of its Appalachia properties in Pennsylvania and West Virginia to EQT Production via a bankruptcy auction   
  • Apollo Global Management in its US$450 million joint venture with Wolfcamp Drillco Operating to fund future oil and natural gas development in the Wolfcamp acreage owned by EP Energy
  • CNX Resources Corporation in the separation of a joint venture between CONSOL Energy and Noble Energy, involving Marcellus Shale properties in Pennsylvania and West Virginia
  • Hess Corporation in its sale of 50% state in its Bakken midstream assets to Global Infrastructure Partners
  • Covey Park Energy in its acquisition of Haynesville and Bossier shale assets from EOG Resources, Inc.
  • EXCO Resources, Inc. in its US$1 billion acquisition of Northern Eagle Ford and Haynesville Shale assets located in Texas and Louisiana from Chesapeake Energy Corporation
  • Anadarko Petroleum in its US$2.3 billion sale of Eagle Ford assets in South Texas to Sanchez Energy and Blackstone Group
  • A subsidiary of Freeport-McMoRan Copper & Gold Inc. in its US$3.1 billion sale of its Eagle Ford Shale assets to a subsidiary of Encana Corporation
  • Exterran Partners, L.P. in its US$360 million acquisition of natural gas compression assets from MidCon Compression, L.L.C.
  • Hess Corporation in connection with its US$265 million divestiture of Eagle Ford Shale trend assets to Sanchez Energy Corporation
  • EXCO Resources, Inc. in its joint venture with Harbinger Group, Inc. and US$133 million acquisition of certain conventional oil and natural gas assets in East Texas and North Louisiana from an affiliate of BG Group Plc.
  • Plains Exploration & Production Company (PXP) in connection with its US$5.5 billion acquisition of certain deepwater Gulf of Mexico oil and gas properties from BP Exploration & Production Inc. and BP Exploration & Production Company
  • Citation 2004 Investment Limited Partnership in connection with its US$140 million acquisition of certain oil and natural gas assets of Noble Energy, Inc.
