Nadia Sager is a partner in the San Diego office of Latham & Watkins and a member of the firm's Investment Funds Practice. Ms. Sager’s practice focuses on private investment fund formation, strategic partnering and joint venture transactions, and US and international investment. As part of her practice, she advises sponsors of private investment funds on registration and compliance matters under the Investment Advisers Act of 1940 and the Investment Company Act of 1940.
Ms. Sager regularly represents private equity fund managers in the formation and operation of private investment funds, including both US and non-US funds. Her expertise includes buyout funds, real estate funds, energy and infrastructure funds, venture funds, hedge funds and other privately placed investment offerings. Ms. Sager also specializes in the formation of joint ventures (including those structured through limited liability companies, partnerships and contractual joint ventures), general limited liability company and partnership work, and other domestic and cross-border strategic and cooperative arrangements.
Ms. Sager's practice includes the structuring and negotiation of fund agreements, co-investment arrangements and internal sponsor arrangements; the structuring and negotiation of passive and joint venture investments; the ongoing representation of fund and joint venture entities, including on regulatory matters; and the structuring and negotiation of spin-off and separation arrangements. Ms. Sager's cross-border dealings have included transactions involving investments and investors throughout the world, including Europe, the Middle East, Asia and Latin America.
