Kirk A. Davenport is a partner in the New York office of Latham & Watkins. Mr. Davenport is a member of the Corporate Department, where his practice centers on capital markets and securities law matters as well as all aspects of debt and equity financings. Mr. Davenport recently completed his tenure as a member of the firm's Executive Committee.
He also serves as Co-chair of the national office of Latham & Watkins, a central resource for clients and Latham attorneys facing complex issues arising under the US securities laws. His clients include US and international investment banks, NYSE and NASDAQ-listed companies, foreign private issuers, leveraged buyout funds and mezzanine investment funds.
Mr. Davenport has represented underwriters, placement agents, initial purchasers and issuers in public and private high yield, convertible note and equity offerings of all kinds in a broad array of industries. Mr. Davenport has also represented broker-dealers in all manner of other engagements, including dealer manager and consent solicitation agent engagements, and has represented issuers and broker-dealers in tender and exchange offer transactions, both domestically and abroad, as well as prepackaged bankruptcy solicitations. In the lending arena, he has represented senior and mezzanine lenders and borrowers in acquisition and other debt financings.
Mr. Davenport was featured in the first tier in the 2011 Chambers USA guide, noting that he is an "energetic and technically gifted" lawyer highlighted by sources for his leading expertise in high yield transactions. Additionally, he was recognized as a leader for his work in capital markets and was also lauded as a leading capital markets lawyer in The Legal 500 US in 2010 and IFLR1000 in 2008.
