Julian Kleindorfer is a partner in the Corporate Department of the Los Angles office of Latham & Watkins. His practice focuses on general company representation for public and private companies, including corporate finance and mergers and acquisitions transactions.
In the corporate finance area, Mr. Kleindorfer represents issuers and investment banks in public and private equity and debt offerings and other financing transactions. In addition, Mr. Kleindorfer serves as regular outside corporate and securities counsel for a number of public and private companies, including Maguire Properties, Inc. (NYSE: MPG), Digital Realty Trust (NYSE: DLR), Mercury General Corporation (NYSE: MCY), SCPIE Holdings, Inc. (NYSE: SKP) and Guidance Software, Inc. (Nasdaq: GUID).
In the mergers and acquisitions area, Mr. Kleindorfer has handled matters ranging from multi-billion dollar public and private company acquisition transactions to venture capital transactions. Representative transactions for Mr. Kleindorfer include the representation of:
- Nestlé USA in its pending purchase of Kraft’s North American pizza business for $3.7 billion;
- Health Net, Inc. in the sale of its Northeast business to Oxford Health Plans, LLC for over $500 million;
- Pathmark Stores, Inc. in its $1.3 billion sale to The Great Atlantic & Pacific Tea Company, Inc.;
- Safeco Corporation in the sale of its life insurance division for $1.3 billion; and
- Deutsche Bank in connection with CVS Caremark Corporation’s recent $2.9 billion acquisition of Long’s Drugs.
Mr. Kleindorfer also works extensively with directors of public corporations on governance matters, including shareholder activism, board and committee structures and succession planning.
Mr. Kleindorfer is listed in the 2010 Best Lawyers in America survey in the Securities Law category and in the 2009 Legal 500 US guide as a "Leading Lawyer" in the area of Real Estate Investment Trusts.
Mr. Kleindorfer formerly served as a clerk on the US Court of Appeals for the Third Circuit. Mr. Kleindorfer is fluent in German and Japanese and serves on the Board of Directors of the Los Angeles Japan America Society.
