Experience

Andrew Tarbuck is a corporate finance and capital markets partner based in the Dubai office of Latham & Watkins. Mr. Tarbuck specializes in all aspects of corporate finance, including flotations, secondary equity fund-raisings for listed companies, public and private company M&A and company reconstructions. In addition, he has detailed experience with IPOs by both mature and start-up companies in various jurisdictions worldwide.

In the 2010 Global Chambers legal guide, Mr. Tarbuck was recognized for his work in Equity Capital Markets and in Corporate Commercial with sources commending him as a notable practitioner stating, he is a “well-respected name in the equity field.” He was also ranked in Legal 500 for Corporate and M&A transactions with clients praising him as a “quality act.”

Prior to joining Latham & Watkins, Andrew spent more than eight years in the London office of Norton Rose LLP before moving to Dubai in 2007. He has also worked in Hong Kong.

Mr. Tarbuck handled the following matters prior to joining Latham & Watkins:

  • Advised Al Waab City W.L.L., the Qatari developer of Doha's keynote residential and commercial property development on the equity participation of its US$1.25 billion equity, mezzanine and senior debt financings.
  • Advised Citigroup, Inc. on the proposed listing of its DOPI structured product on the DIFX's (now NASDAQ Dubai) TraX platform under Citigroup Funding Inc.'s Euro Medium Term Note Programme. DOPI is a very regional structured product, being referenced to the price of the Omani Oil Futures Contract as quoted on the Dubai Mercantile Exchange based in the DIFC.
  • Advised Citigroup on a Shariah compliant MTN Programme in relation to the establishment of a US$20 billion debt issuance programme which allows for the issue of Irish listed Shariah compliant certificates. The Norton Rose LLP team that advised Citigroup on the programme won the Finance Team of the year at the Lawyer Awards 2008 for this particular transaction.
  • Advised Boulder Steel Limited on the secondary listing of its shares on the DIFX (now NASDAQ Dubai) as the first Australian company to take advantage of the newly-created trading link by Computershare between the Australian Stock Exchange and the DIFX. This transaction was short-listed for IPO of the year at the IFLR Middle East Awards 2007.
  • Advised Unigold Inc. on the secondary listing of its shares on the DIFX (now NASDAQ Dubai), again being the first company to take advantage of a newly created trading link by Computershare, this time between the Toronto Stock Exchange and the DIFX. Together with the Boulder Steel Limited secondary listing, the Unigold Inc. listing led to the Middle East equity capital markets team being short-listed for ECM team of the year at the IFLR Middle East Wards 2007.
  • Advised Prosperity Minerals Holdings Limited (Prosperity), a Chinese iron ore trading and cement company, on its £115 million IPO and listing on the London Stock Exchange.
  • Advised Eastern Platinum Limited (Eastplats), a Canadian platinum mining company, on its introduction to the London Stock Exchange, its reverse takeover of South African mining company, Barplats, and subsequent issue of subscription receipts and re-admission to the London Stock Exchange.
  • AdvisedFox Kids Europe (Fox Kids), a global children's television channel, on its IPO and listings in Amsterdam and New York.
  • Advised Abraaj Capital Limited on the disposal of its shareholding in Maktoob.com, Inc.
  • Advised BSG Energy Holding Ltd on the vend-in of its international oil and gas assets to a joint venture with Dubai World.
  • Advised Thani Investment, a Dubai based group, in connection with the US$334 million sale of certain of its oil and gas assets to an Egyptian based oil and gas exploration and production company.
  • Advised Abraaj Capital Limited on the corporate aspects of its US$80 million refinancing of the Spinneys Group Limited.
  • Advised Mellon Bank (now Bank of New York Mellon) on DFSA regulatory matters.
