Experience

Scott Herlihy is a partner in Latham's Washington, D.C. office and a Global Co-Chair of the firm's Public Company Representation practice. His practice centers on public and private securities offerings, mergers and acquisitions, and general corporate governance and securities matters for both public and private companies.

Mr. Herlihy provides general corporate governance and securities representation for a variety of public and private companies, including Host Hotels & Resorts, Global Crossing, Ltd., Catalyst Health Solutions, Inc. and USEC, Inc. Mr. Herlihy has also advised various boards of directors and board committees on a variety of corporate governance matters.

Mr. Herlihy has represented issuers and underwriters in a number of registered public offerings and private placements (including under Rule 144A) of common stock, preferred securities and debt securities, and has assisted in, or supervised, numerous spin-offs of companies to public stockholders.

In addition to his securities work, Mr. Herlihy has handled numerous public and private M&A transactions for both investors and target companies. One notable matter includes his representation of Host Hotels & Resorts, Inc. in its recent acquisition of approximately $4 billon of hotel properties from Starwood Hotels and Resorts.

Mr. Herlihy is an adjunct professor at Georgetown Law and frequently lectures on corporate governance and compliance by public companies with the federal securities laws.

Mr. Herlihy is a co-author, with Bruce E. Rosenblum and John J. Huber, of "Structuring and Implementing Spin-Offs," The Corporate Analyst (August 1996).

From 1985-1988, Mr. Herlihy, a certified public accountant, was a litigation consultant with Peterson & Co., a litigation and financial consulting firm, with extensive experience investigating financial fraud.

While at the University of Notre Dame Law School, Mr. Herlihy was a recipient of the Judge Roger Kiley Fellowship and the Colonel William J. Hoynes Award for Outstanding Scholarship, Application, Deportment and Achievement.
