Experience
Scott N. Wolfe is the partner-in-charge of the San Diego North County office and has practiced law with the firm since 1978. He practices in the areas of general corporate and securities law, mergers and acquisitions, and is the head of the San Diego office Corporate Department. Mr. Wolfe has a strong background in advising startups and emerging businesses, as well as public companies, particularly in the biotechnology, high technology and telecommunications industries. He also regularly represents companies and investment banking firms in public offerings, private placements, venture capital financings, real estate investment trusts, complex debt offerings and corporate partnering arrangements.

- Ambrx, Inc., a biotechnology company, in connection with three rounds of venture capital financing totaling more than $80 million
- DJO, a medical device company, in connection with two follow-on and secondary public offerings aggregating $250 million and in connection with its $1.6 billion acquisition by The Blackstone Group
- Excel Realty Trust, Inc., Price Enterprises, Price REIT, Price Legacy and First Washington Realty Trust, real estate investment trusts, in connection with their securities offerings and mergers and acquisitions
- Goldman Sachs and Lehman Brothers as co-lead underwriters of all public offerings of QUALCOMM Incorporated, including its IPO
- Kelly Capital in its $130 million leveraged buy-out of National Services Industries, a New York Stock Exchange company
- Leap Wireless International, Inc., a public wireless communications carrier, and its subsidiary, Cricket Communications, on a number of public financing transactions and governance advice
- Ligand Pharmaceuticals, Inc., a biotechnology company, in connection with its sales of its Avinza pain product and its oncology products for more than $500 million and its merger with Pharmacopeia
- Merrill Lynch, Deutsche Banc, S.G. Cowen, Bear Stearns and Piper Jaffray as representatives of the underwriters in connection with the initial public offerings of Digirad Corporation and Optimer Pharmaceuticals and the follow-on offerings of Cypress Biosciences and Natus Medical
- MP3.com, an Internet music service provider, in its $372 million sale to Vivendi Universal
- NTI Group, an e-mail and text messaging company in the educational sector, in connection with its $200 million merger with Blackboard, Inc.
- The Price Company, Price Enterprises and PriceSmart in connection with the merger with Costco and the spin-off of Price Enterprises and PriceSmart
- San Diego Padres Baseball Club in connection with its acquisition and later the sale of a majority interest and as general counsel from 1990 - 1994
- Sanford Consortium for Regenerative Medicine, a stem cell research collaboration among UCSD, The Salk Institute for Biological Studies, The Scripps Research Institute and Burnham Institute for Medical Research in connection with a Collaboration Agreement and a naming gift agreement
- Santarus, Inc., a specialty pharmaceuticals company, in connection with its IPO and a follow-on offering valued at over $130 million as well as general securities and corporate governance advice
- SkinMedica, Inc., a specialty pharmaceutical company focused on dermatology, in several private rounds of financing valued at approximately $100 million
- Visual Sciences (formerly WebsideStory, Inc.), a web analytics company, in connection with its IPO and merger with Omniture
- Zhone Technologies, Inc., a public telecommunications company, in connection with its $250 million acquisition of Premisys Communications and its $150 million merger with Tellium Inc.
Mr. Wolfe is a member of the American, California, San Diego and District of Columbia Bar Associations. He is the former Chairman of the Board and a current trustee and member of the Executive Committee of Rady Children's Hospital and Health Center in San Diego and was Chairman during its amalgamation with UCSD Medical School's Pediatrics program. He is a trustee of BIOCOM, CONNECT and the Boys and Girls Club of San Dieguito and is a member of the Dean's Advisory Council of the Rady School of Management at UCSD. Mr. Wolfe is a former owner of the San Diego Padres (1990 - 1999) and a former trustee of the Burnham Institute, Francis Parker School, Southern California Special Olympics and the Economic Development Corporation. Mr. Wolfe has lectured at Practicing Law Institute seminars on "Acquiring and Selling Privately-Held Companies" and at Continuing Education of the Bar seminars on California securities laws and acquisitions as well as at the Rady School of Management at UCSD.
Mr. Wolfe is named in San Diego Magazine's "The Best Lawyers" articles (September 2001 - April 2009) and in California Law Business's annual list of the state's top 200 rainmakers. He is also named a Leading Attorney in California in the categories of Capital Markets, Debt & Equity and Life Sciences by Chambers USA America's Leading Lawyers for Business 2008 and 2009, stating that Mr. Wolfe "is a fine practitioner who is wonderfully experienced" and has "sound judgment." The Legal 500 US guide 2008 lists Mr. Wolfe as one of the "important M&A practitioners" on the west coast in National Mergers, Acquisitions and Buyouts. Mr. Wolfe was also named in The Lawdragon 500 Leading Dealmakers 2006, 2007 and 2008 editions. In 2006, Mr. Wolfe was selected as one of San Diego's 120 Top Influentials by The Daily Transcript in its special 120th anniversary "Past to Present" issue, in which the publication featured the most influential business leaders in the San Diego Community from 1886 to 2006. In 2004, Mr. Wolfe tied for second as the United States lawyer with the most IPO representations as cited by IPO Vital Signs.
